1. Scope

These terms of use apply to all websites of Matrixchain OÜ. (hereinafter referred to as “Matrixchange”), in particular for free and paid content and services (hereinafter referred to collectively or individually as “Services”). The terms of use provided on the Matrixchange C websites at the time the services are ordered apply. Deviating provisions only apply if they have been expressly confirmed in writing by Matrixchange. By using it, the user expressly agrees to these terms of use without any further explanation.

2. Availability

The services of Matrixchange are offered to the user subject to availability. Matrixchange endeavors to ensure that the services are available to the user without disruption. Due to maintenance work and/or further developments and/or other disruptions, the possibilities of use can be restricted and/or temporarily interrupted. This can also lead to data loss under certain circumstances. This does not give rise to any claims for compensation for the affected users. Matrixchange is also entitled to change or discontinue the services offered at any time at its own discretion without notice.

3. Contractual relationship

The contractual relationship regarding the use of Matrixchange services that are subject to a fee comes about through registration with the desired and selected payment provider or alternatively the binding choice of another payment alternative (e.g. credit card payment), as well as the consent to the general terms of use and acceptance by Matrixchange. The acceptance by Matrixchange takes place at the latest when access to the chargeable service is opened.

3.1. Purchases and sales of cryptocurrencies on the Matrixchange are settled by debiting or crediting the reference currency ECpay. ECpay is not subject to any exchange rate fluctuations. An ECpay is always exactly one euro.

Users can acquire ECpay in two ways:
1) Sale of a cryptocurrency on the Matrixchange > equivalent value is credited to ECpay
2) Purchase of ECpay against payment of the equivalent value in euros
3) Direct purchase from another user against payment of the equivalent value in a cryptocurrency or in euros. Immediate transfer within the exchange via P2P interface (peer to peer).

If a user has ECpay, he can use it again to buy a cryptocurrency.

The user still has the option of offering his ECpay to Matrixchange for sale. Matrixchange is responsible for deciding whether to accept the offer. Acceptance is effected by paying the equivalent value in EURO. In the event of a refusal, the user will receive a written notification. There is no legal obligation to accept.

4. Registration

4.1. General – registration: The user must register for certain services on the Matrixchange website. The user assures that the personal information provided by him during registration, especially first and last name, postal address, date of birth and e-mail address, is true and correct and that he will notify Matrixchange of any changes to his information immediately.

4.1.1. Registration: In order to obtain the selected paid service from Matrixchange, the user must fill out the form provided on the respective Matrixchange website. The specification of third-party e-mail addresses is not permitted. By ordering the fee-based service, the user also allows Matrixchange to inform the user at irregular intervals about current industry news as well as services, products and offers from the industry. Apart from that, only data that is voluntarily made available to Matrixchange by its users is collected.

4.1.2. Data transmission / changes: The content is transmitted electronically. The member must ensure that the Matrixchange has an up-to-date e-mail address at all times. Matrixchange must be informed immediately of any changes in this regard.

5. Abuse

6. Privacy

For all information in connection with the handling of user data, Matrixchange refers to its separate data protection declaration DSGVO.

7. Payment Transactions

The fees for chargeable services are settled with the payment system provider to be chosen by the user. In this context, the terms of use of the payment system provider selected by the user apply exclusively, which are referred to at the appropriate point and appropriate assistance is given. The payment claims are to be settled with the selected payment system provider in accordance with the respective terms of use. If you choose a different payment method (direct debit authorization, credit card, etc.), the delivery and payment conditions stored there apply.

If the user does not meet his payment obligations, Matrixchange is entitled, subject to further claims, to block the user’s access to the chargeable services. After the outstanding claims have been settled, access will be reopened. Matrixchange reserves the right to commission appropriate companies to carry out the respective debt collection.

8. User Obligations

Compliance with applicable legislation: The user undertakes not to violate applicable legislation. In particular, he undertakes that the content he distributes does not infringe the rights of third parties (such as copyright, patent and trademark rights); the applicable penal laws and youth protection regulations are observed; no racist, pornographic, obscene, offensive content or content unsuitable for minors will be disseminated.

Data security: The user further undertakes to protect the data in accordance with the recognized principles of data security and to check outgoing emails to Matrixchange for viruses with the greatest possible care.

Obligation in dialogues: When using dialogue-oriented content on the website or in the newsletter, the user undertakes to limit the professional exchange of opinions and to refrain from advertising statements and to take the interests of other participants into account. In particular, Matrixchange is entitled to delete contributions which, due to their choice of language or content, do not comply with the rules of fair discussion and good morals or do not take sufficient account of the interests of other participants. Matrixchange hereby expressly prohibits the posting of racist, pornographic, obscene, inhuman and immoral contributions.

Access data and password: The user undertakes to keep all access data assigned to him, in particular a password assigned to access the content made available online, secret, not to pass it on, not to tolerate or enable any knowledge of third parties in this regard and to take the necessary measures to guarantee the seize confidentiality. Each user is responsible for all activities that take place under his password. In the event of misuse or loss or a corresponding suspicion, Matrixchange must be notified immediately at support(at)euro-btc.eu. Matrixchange must also be notified immediately of any indications of improper use of the services and content of Matrixchange or the payment system. The Matrixchange is entitled to block access to the protected area if the user is responsible for misuse of the access data, e.g. B. by passing it on to third parties.

8.1.2. The user is obliged to carry out verification (KYC) when registering the wallet. MatrixChange reserves the right to outsource the examination process to an external service provider. In this case, the user accepts the data protection conditions of the external service provider and the storage of his data by the same.

In the event of misuse of the Matrixchange or P2P platform, the operator is entitled to block the user. In the case of a first violation, the account will be blocked for 48 hours. In the case of repeated violations, the operator is entitled to block the user completely and to terminate and delete the account.

The operator is also entitled to pass on personal data to the aggrieved contractual partner for the initiation of legal action in the case of non-executed purchase or sale orders in the P2P area.

8.1.3. course manipulations

The user undertakes to carry out the trade within a framework that is customary in business. Deliberately influencing the course beyond the usual trading framework is strictly prohibited. From a deviation of +-25% to the daily average rate, a standard trade check is carried out. Trading with yourself on both the buy and sell side (proprietary trading) is also prohibited.

9. Content / Liability

Own and third-party content is provided via the website and the newsletter. Insofar as this content comes from third-party companies, it is marked accordingly.

9.1.1. Liability for its own content: Matrixchange is only liable for losses or damage that the user may incur as a result of trusting in Matrixchange’s own information, which the user has received as part of the use of the website or the newsletter, if the Damage caused by intent or gross negligence on whatever legal grounds by the legal representatives or vicarious agents of Matrixchange or by slight negligence in breach of an obligation on the fulfillment of which the user has particularly relied (cardinal obligation). Matrixchange is only liable for foreseeable damage. Liability for indirect damage, in particular consequential damage, unforeseeable damage or atypical damage as well as loss of profit is excluded. The same applies to accidental damage and force majeure. Matrixchange’s liability for personal injury remains unaffected by this exclusion and limitation of liability.

9.3. Matrixchange excludes any liability for technical or other disruptions.

10. Warranty

10.1. Matrixchange makes its services available without any assurance or guarantee of any kind, whether express or implied. All implicit warranties regarding merchantability, suitability for specific purposes or non-violation of laws and patents are also excluded. Even if Matrixchange assumes that the information provided by Matrixchange is accurate, it may still contain errors or inaccuracies.

10.2. If the user complains about content that is subject to a fee due to incomplete or defective services provided by Matrixchange, the user must report the complaints to Matrixchange immediately after becoming aware of them.

10.3. If Matrixchange is liable due to justified and timely complaints, Matrixchange must subsequently deliver in the event of incomplete performance and, in the event of defective performance, at the user’s discretion rectify or deliver a replacement. The user can demand a reduction in the fees if attempts to remedy the defect or replacement deliveries are refused, are impossible or fail in any other way.

11. Copyright

11.1. All content published on the websites and in the Matrixchange newsletter, such as texts, images, graphics, sound, video and animation files as well as databases are protected by copyright. Furthermore, Matrixchange is entitled to title, trademark or other commercial legal protection for many contents.

11.2. The use of the content is only permitted for private personal use. Any use beyond this requires the prior consent of Matrixchange; this applies in particular to the commercial and private duplication, modification, distribution or storage of information or data, in particular texts, parts of texts and images. This applies in particular to the implementation of content on third-party websites and inclusion in electronic databases.

11.3. Otherwise, the legal limits of copyright and/or other applicable legal regulations apply.

12 Limitation of Liability

Claims for damages due to the impossibility of performance, positive breach of contract, fault in acquiring the right of use and tort are excluded both against Matrixchange and in relation to its vicarious agents, unless intentional or grossly negligent action is involved. Claims for damages due to the operational failure of the Matrixchange Internet server cannot be asserted. Due to various factors that are not within the control of Matrixchange, we cannot guarantee 100% availability of the server.

12.1. Disclaimer

13. Final Provisions

13.1. Deviations from these terms of use must be in writing in order to be effective, whereby sending an email or a fax also corresponds to this written form. The same applies to the written form requirement.

13.2. If individual provisions of these terms of use are or become invalid and/or unenforceable, the validity of the remaining terms of use shall remain unaffected. Invalid and/or unenforceable provisions will be replaced by a valid and enforceable provision by way of supplementary contract interpretation, which, taking into account the interests of both parties, is most suitable for achieving the desired economic purpose. The same applies to the filling of gaps in these terms of use.

13.3. The place of jurisdiction for all disputes arising from the user relationship is the place of business of the provider
